Description: Onda LaBuhn is seeking an associate attorney to join its Tax and Business practice groups. The candidate must have a strong tax background and a comprehensive understanding of the Internal Revenue Code and Treasury Regulations (with emphasis on Subchapter K) (LLM preferred). The day-to-day responsibilities of this position will include representing clients before the Internal Revenue Service to Ohio state tax agencies; drafting partnership/LLC operating agreements with emphasis on the tax and cash flow allocations; assisting clients with reorganizations, mergers, and acquisitions; and succession and estate planning for high-net-worth clients. The candidate must be self-driven and have strong interpersonal skills with an owner vs. employee mentality.
Associate Position
Description: Onda LaBuhn Ernsberger & Boggs Co. LPA is seeking a dedicated and driven associate attorney to join our real estate and business practice group. The ideal candidate will have at least three years of experience representing individuals and closely held business in transactional matters, with a particular focus on corporate governance, real estate transactions, and contract drafting and negotiation.
1. Draft, Review, and Negotiate a broad range of business-related agreements, including:
a. Operating agreements, close corporation agreements, bylaws, resolutions
b. Non-disclosure and non-solicitation agreements
c. General and mutual release/hold harmless agreements
2. Structure and manage commercial and residential real estate transactions, including:
a. Purchase and sale agreements
b. Title and due diligence review
c. Lease drafting and negotiation (gross and NNN leases)
3. Prepare and manage real estate related documents and matters, including:
a. Easements, covenants, and restrictions
b. Zoning and land-use matters
c. Governmental entitlements
4. Assist with M&A transactions:
a. Draft and negotiate asset and equity purchase agreements
b. Conduct due diligence and prepare disclosure schedules
c. Draft related employment agreements and ancillary documents
5. Represent both lenders and borrowers in commercial financial transactions:
a. Draft loan agreements, promissory notes, guaranties, mortgages, and UCC filings
